This Cleaning Service Agreement ("Agreement") is entered into by and between Smart Support LLC dba 'Octomaids' ("Service Provider") and the undersigned client ("Client"), collectively referred to as the "Parties."

1. Term of Agreement
The Client agrees to engage the Service Provider for a cleaning service contract with a term of one (1) year. The Agreement shall commence on the date signed and continue for the selected term unless terminated earlier in accordance with this Agreement. This agreement shall automatically renew if not otherwise terminated

2. Termination
Either Party may terminate this Agreement with thirty (30) days written notice. However, if the Client cancels prior to the end of the agreed-upon term, the Client shall be responsible for an early termination fee equal to three (3) months of cleaning service. This early termination fee is due withing ten (10) business days

3. Scope of Services
Services shall be performed in accordance with the Service Description provided by the Service Provider and agreed to by the Client.

4. Reassignment of Cleaning Crew
The Service Provider reserves the right to reassign a different cleaning crew to the Client’s property if the Client is not satisfied with the current one. This reassignment does not affect the validity of this Agreement.

5. Renewal and Pricing
Upon renewal of this Agreement, the Service Provider reserves the right to adjust pricing. The Client will be notified of any changes in advance of renewal.

6. Payment
The Client agrees to pay for services rendered in accordance with the invoicing and payment schedule provided by the Service Provider. Specific monetary amounts are excluded from this Agreement and will be provided separately in invoices. Failure to pay the invoice on the due date results in interest accruing at a rate of twelve percent (12%) per year. Client shall remain liable for all costs of collection including court costs and reasonable attorney fees

7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the States of Washington and Oregon, without regard to conflicts of law principles.

8. Liability

The service provider shall not be liable for indirect, incidental, or consequential damages. The service provider’s liability for any claim arising under this agreement shall be limited to the amount paid by the client for services in the month the claim arose.

You, the customer, are responsible for informing the service provider if you have any special cleaning requirements, preferred cleaning products, delicate or valuable items, pets, or specific areas requiring attention.

The service provider shall exercise reasonable care while performing services but shall not be liable for:

Pre-existing damage to property or items.
Items of extraordinary value (e.g., cash, jewelry, collectibles) unless specifically insured or declared in writing.
Damage caused by factors beyond the company’s control (e.g., faulty equipment, structural issues, or unsafe conditions).

The client agrees to secure or remove fragile, valuable, or irreplaceable items prior to service.

Hazardous or unsafe conditions

The company reserves the right to refuse service or adjust procedures if the premises present unsafe conditions (e.g., chemical hazards, structural issues, aggressive pets).
The client may be responsible for additional costs incurred to address these conditions.

Notification of issues

Any damage or service issue identified by the client must be reported within 24 hours of service. The company will investigate and take reasonable steps to address verified issues.

Any requests outside the standard service scope may incur additional fees, which will be communicated prior to performing the service.

The client acknowledges the risk of damage to property and will hold the service provider harmless against all damages except for those arising from gross negligence or willful conduct.

9. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter herein and supersedes all prior discussions or agreements.

10. Acknowledgment
By signing below, the Client acknowledges that they have read, understood, and agree to the terms of this Agreement.
